1. Acceptance of Terms

By accessing or using the Vendilot web application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and subscribers.

2. Description of Service

Vendilot is an inventory management and quoting platform designed for trading card game (TCG) vendors. The Service provides tools for tracking inventory, generating market-based price quotes, managing purchase lots and consignments, analyzing profit, and identifying cards through AI-powered photo recognition (SmartScan). The Service relies on third-party market data sources and does not guarantee the accuracy or completeness of pricing information.

3. User Accounts

By creating an account, you agree to:

Provide accurate and complete registration information.
Maintain the security of your account credentials.
Promptly notify us of any unauthorized access to your account.
Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

4. Subscription & Billing

Account registration: Creating a Vendilot account is free and does not require a credit card or payment method.
Free Trial: When you subscribe for a plan, new subscribers receive a 14-day free trial with full access to that plan. A valid payment method is required at Stripe checkout to start the trial. You may cancel at any time during the trial period to avoid being charged when the trial ends.
Billing: After the trial period, your subscription will be billed at the rate associated with your chosen plan (Core at $20/month or $220/year, Pro at $30/month or $330/year). Prices are subject to change with 30 days' notice.
Cancellation: You may cancel your subscription at any time from your account settings. When you cancel, you will continue to have full access to all features through the end of your current billing period. After your billing period ends, your inventory data is preserved and accessible in read-only mode. Live pricing updates and premium features will be paused until you resubscribe.
Auto-Renewal: Your subscription will automatically renew at the end of each billing period. You will be charged the applicable subscription fee unless you cancel before the renewal date.
Annual Billing: Annual subscriptions are billed once per year at the applicable annual rate.

5. Data Retention

Your inventory data remains available to you after cancellation. You may export your data at any time.

6. Data Ownership

You retain full ownership of all inventory data, images, and content you upload to the Service ("Your Content"). By using the Service, you grant Vendilot a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

We do not claim ownership of Your Content and will not use it for purposes unrelated to the Service. You may export or delete Your Content at any time.

7. Acceptable Use

You agree not to:

Use the Service for any illegal or unauthorized purpose.
Attempt to gain unauthorized access to other users' accounts or data.
Interfere with or disrupt the Service or its infrastructure.
Upload malicious software, viruses, or harmful content.
Scrape, crawl, or programmatically extract data from the Service without permission.
Resell or redistribute the Service or its data without authorization.
Use the Service to engage in fraudulent pricing or deceptive business practices.

8. Third-Party Services

The Service integrates with or references third-party services including TCGPlayer, eBay, and AI processing providers. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of third-party services is subject to their respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Vendilot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

The Service provides pricing information based on third-party market data and is intended for informational purposes only. We do not guarantee the accuracy of pricing data and are not responsible for business decisions made based on this information.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination:

Your data will be retained on the platform for a reasonable period, allowing you to export it or resubscribe.
You will lose access to paid features including quoting, price updates, and SmartScan.
You may request permanent deletion of your data by contacting us.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you may discontinue use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
