Terms of Service

1. Acceptance of Terms

By accessing or using the Vendilot website, web application, mobile apps, and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and subscribers.

2. Description of Service

Vendilot is a platform for trading card game (TCG) vendors and collectors. It offers two kinds of accounts:

• Vendor accounts provide tools for tracking inventory, generating market-based price quotes, managing purchase lots and consignments, analyzing profit, and identifying cards through AI-powered photo recognition (SmartScan).
• Collector accounts let you track your own cards and sealed products and their estimated value, record what you sell, keep a wishlist with price alerts, find nearby vendors and card shows, and ask vendors for offers. Collector+ is an optional paid subscription with more features.

The Service relies on third-party market data sources and does not guarantee the accuracy or completeness of pricing information.

3. User Accounts

You must be at least 13 years old to create an account. If you are under 18, you may use the Service only with the permission of a parent or guardian. You may sign up with an email and password, or, for collector accounts in the mobile app, with Apple or Google.

By creating an account, you agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

A collector account can be switched to a vendor account in the mobile app. A vendor account can't be switched to a collector account without contacting us.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

4. Subscription & Billing

Collector accounts: Collector Free includes the card limit and number of target-price alerts shown in the app. Collector+ is bought only in the mobile app, through Apple In-App Purchase or Google Play, and is verified through RevenueCat. Your store shows the local price, billing period, and any eligible trial before purchase. After a trial, the subscription renews at the displayed price unless canceled through the store before renewal. Manage cancellation and refund requests through the store where you purchased. Removing Vendilot, deleting your account, or switching to a vendor account does not cancel a store subscription. Existing cards remain accessible after Collector+ ends; additions above the free limit and paid tools are restricted. Collector accounts can't subscribe to vendor plans. On iOS, Apple's standard end-user license agreement also applies.

The following plan details apply to vendor accounts:

• Account registration: Creating a Vendilot account is free and places you on the Free plan. No credit card is required for Free. A credit card is required when starting a Pro or Teams subscription trial.
• Free plan: The Free plan holds up to 50 cards and includes Quick Quote with catalog snapshot prices, lots, trades, sales, binders, shows, share links and up to 10 SmartScan captures per day (resetting at midnight Central Time). Live pricing, unlimited SmartScan, analytics, label printing and CSV export require a paid plan. An account over the Free limit keeps read and sell access to its existing cards but cannot add more until it is under the limit or on a paid plan.
• Free Trial: Eligible new subscribers receive a 14-day free trial with full access to the selected paid plan, once per account. A valid payment method is required at Stripe checkout to start the trial. You may cancel at any time during the trial period to avoid being charged when the trial ends.
• Billing: After the trial period, your subscription will be billed at the rate associated with your chosen plan (Pro at $20/month or $220/year, Teams at $40/month). Teams is billed monthly and includes three teammate seats; each additional seat is $5/month and is prorated when you add or remove it. Accounts previously on the retired Core plan keep Pro access at their existing rate until their subscription changes. Prices are subject to change with 30 days' notice.
• Teams and teammate accounts: If you subscribe to Teams, you are responsible for the people you invite and for what they do in your account. You control what each teammate can see and do, and you may remove a teammate at any time. If your Teams subscription ends, your teammates lose access to your inventory.
• Cancellation: You may cancel your subscription at any time from your account settings. When you cancel, you will continue to have full access to all features through the end of your current billing period. After your billing period ends, your inventory data is preserved and accessible in read-only mode. Live pricing updates and premium features will be paused until you resubscribe.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing period. You will be charged the applicable subscription fee unless you cancel before the renewal date.
• Annual Billing: Annual subscriptions are billed once per year at the applicable annual rate.

5. Data Retention

Your inventory and collection data remains available to you after a paid plan or Collector+ ends. Vendor accounts can export inventory at any time. Collectors can export a collection file with Collector+, or ask us for a copy of their data at any time.

6. Data Ownership

You retain full ownership of all inventory data, images, and content you upload to the Service ("Your Content"). By using the Service, you grant Vendilot a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

When you send an offer, offer request, inquiry, or message, announce a card show, or make a vendor profile discoverable, you also let us show that content to the users it is meant for.

We do not claim ownership of Your Content and will not use it for purposes unrelated to the Service. You may delete Your Content at any time and export it as described in section 5.

7. Acceptable Use & Community Rules

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the Service or its infrastructure.
• Upload malicious software, viruses, or harmful content.
• Scrape, crawl, or programmatically extract data from the Service without permission.
• Resell or redistribute the Service or its data without authorization.
• Use the Service to engage in fraudulent pricing or deceptive business practices.

Vendilot has zero tolerance for objectionable content and abusive users. Anything you send or publish through the Service, including offers, offer requests, inquiries, messages, contact details, card show listings, shop names, and profile details, must not:

• Harass, threaten, bully, or intimidate anyone.
• Contain hateful, discriminatory, sexually explicit, or violent material.
• Be spam, a scam, or misleading, including false descriptions of cards or their condition.
• Offer counterfeit, stolen, or illegal items.
• Share someone else's personal information without their permission.
• Impersonate another person or business.

You can report content and block other users in the app. Blocking stops that user's offers, requests, and inquiries from reaching you. We review reports within 24 hours, remove content that breaks these rules, and suspend or terminate the accounts responsible. You can also report a problem by emailing support@vendilot.com.

8. Collector Estimates, Offers & Trades

Collection values, estimated eBay proceeds, vendor cash ranges, quick-sell estimates, and assistant answers are informational estimates. Fees, condition, demand, shipping, and market changes affect actual proceeds. Manual values are supplied by you. Estimates are not binding offers, appraisals, or guarantees. Assistant answers are generated by AI, may be wrong, and are not financial or investment advice.

Vendilot connects collectors and vendors. An accepted offer records an intention to arrange a transaction directly. Vendilot is not a party to the sale and does not hold funds, process card-sale payments, provide escrow, arrange delivery, or guarantee either party's performance. Agree on condition, payment, shipping, and return terms directly before exchanging cards or money. Vendors are responsible for the offers they send and for describing cards accurately.

9. Third-Party Services

The Service integrates with or references third-party services including TCGplayer, eBay, Apple, Google, RevenueCat, Stripe, Google Places, and third-party AI service providers. Some buying links, such as links to TCGplayer, are affiliate links that may earn Vendilot a commission. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Vendilot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

The Service provides pricing information based on third-party market data and is intended for informational purposes only. We do not guarantee the accuracy of pricing data and are not responsible for business decisions made based on this information.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination:

• Your data will be retained on the platform for a reasonable period, allowing you to export it or resubscribe.
• You will lose access to the Service, including any paid features.
• A Collector+ subscription bought through the App Store or Google Play keeps renewing until you cancel it in your store settings.
• You may request deletion of your account in the mobile app or on our account deletion page, or request permanent deletion of your data by contacting us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you may discontinue use of the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation or, if necessary, binding arbitration.
